Master Commercial Terms Overview

These Terms and Conditions ("Agreement") constitute a legally binding agreement between Helix Technologies ("Helix", "Company", "we", or "us") and the organization, company, or entity accessing our platform ("Customer", "you", or "your"). Your organization retains 100% exclusive ownership of all uploaded corporate data, field logs, records, and proprietary assets. By deploying, logging into, or accessing the Services, you affirm that you have the corporate authority to bind your organization to these terms.

01. Service Architecture & Scope

Helix provides an integrated enterprise Business Operating System encompassing the Helix OS Desktop interface, the Helix Field Mobile application (iOS / Android), operational automation pipelines, enterprise resource planning modules, customer relationship management modules, offline synchronization nodes, and developer APIs (collectively, the "Services").

Specific commercial terms, user seat quantities, module selections, and custom professional engineering deployments are governed by mutually executed Order Forms, Statements of Work (SOW), or digital subscription checkouts referencing this Agreement.

02. Corporate Authorization & Access Controls

Customer represents and warrants that the individual accepting this Agreement possesses legitimate corporate authority to bind the entity. Each user account provisioned within your enterprise tenant must be assigned to an authorized employee, contractor, or field agent.

  • Credential Security: Customer is responsible for maintaining the confidentiality of administrative credentials and enforcing Multi-Factor Authentication (MFA).
  • Activity Responsibility: Customer assumes full responsibility for all activities occurring under its assigned organizational seats.
  • Incident Notification: Customer shall promptly notify Helix at divyam@helixco.app upon discovering any credential compromise, brute-force event, or unauthorized access to its tenant.

03. Subscription Terms, Invoicing & Taxes

Access to the Services is billed on a recurring subscription basis (monthly, annual, or multi-year enterprise contracts) as detailed in your active Order Form:

Billing & Payment Invoicing

Unless agreed otherwise in an Order Form, subscription fees are due Net 30 days from invoice date. Invoices may be settled via corporate electronic fund transfers (NEFT/RTGS/ACH/Wire) or authorized corporate credit cards.

Seat Scaling & Overage

Active seat additions provisioned during a billing cycle are prorated through the remainder of the billing period. Field licenses are counted based on active designated mobile field personnel.

Taxes

All published subscription fees are exclusive of applicable indirect taxes, including Goods and Services Tax (GST), Value Added Tax (VAT), sales taxes, or withholding levies, which shall be added to invoices at prevailing statutory rates based on customer billing domicile.

04. Software License & Acceptable Use Rules

Helix grants Customer a limited, non-exclusive, non-sublicensable, non-transferable worldwide license during the subscription term to access and operate the Services strictly for internal business operations.

Strict Prohibitions

Customer and its provisioned end-users shall not under any circumstance:

  • Reverse engineer, decompile, disassemble, or derive source code from any Helix component, binary, or compiled bundle.
  • Bypass, probe, or breach the multi-tenant logical boundaries, authorization middleware, or API rate limiters.
  • Benchmark the platform for malicious or public competitive disparagement without explicit written authorization.
  • Transmit malicious payloads, worms, or automated scraping scripts targeting the Helix web or API infrastructure.
  • Resell, white-label, lease, or syndicate platform access to uncontracted third parties.

05. Customer Data Ownership & Proprietary Rights

100% Customer Data Ownership

Customer retains all title, ownership, copyright, and trade secret rights to all data, records, documents, telemetry logs, and customer contacts submitted to the Services ("Customer Data"). Helix claims zero intellectual property rights over Customer Data.

Helix Platform Intellectual Property

Helix and its licensors retain all rights, title, and interest in and to the Services, including all software engines, algorithms, UI patterns, schemas, documentation, and registered marks. Unsolicited feedback or feature requests may be incorporated into future releases without royalty obligation.

06. Service Availability & Support Level Commitments

Helix strives to maintain an enterprise target availability of 99.9% uptime for core platform APIs and dashboard access, excluding declared scheduled maintenance windows. Scheduled maintenance is conducted during low-utilization windows and announced at least 48 hours in advance via system telemetry banners.

Customer support is provisioned based on the customer's subscription tier:

  • Standard Production Support: Available 5 days a week during business hours via sales@helixco.app with target initial response within 8 business hours.
  • Dedicated Engineering Desk: Enterprise customers receive direct access to our engineering desk via divyam@helixco.app for critical production blockages with priority SLA response times.

07. Confidentiality & Non-Disclosure

"Confidential Information" refers to non-public technical, operational, financial, or business information disclosed by one party ("Disclosing Party") to the other ("Receiving Party"). Customer Data is strictly treated as Customer Confidential Information. Helix system architecture, benchmark data, and custom pricing models are Helix Confidential Information.

The Receiving Party agrees to protect Confidential Information using the same degree of care it uses for its own sensitive assets (and not less than reasonable care), and shall not disclose it to any third party except to employees, professional advisors, and subprocessors with a legitimate need to know under equivalent non-disclosure obligations.

08. Warranties & Statutory Disclaimers

Helix warrants that the Services will function materially in conformity with the published technical specifications under normal operating conditions. Customer's sole and exclusive remedy for any breach of this warranty shall be commercial-effort remediation by Helix or, if incapable of cure within thirty (30) days, termination of the affected subscription with a pro-rata refund of prepaid unearned fees.

Except as expressly set forth herein, the Services are provided on an "AS IS" and "AS AVAILABLE" basis. Helix disclaims all other representations and warranties, whether express, statutory, or implied, including merchantability, fitness for a particular purpose, and non-infringement to the maximum extent permissible by law.

09. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Cap on Direct Damages: In no event shall either party's aggregate liability arising out of or related to this Agreement exceed the total amounts actually paid by Customer to Helix hereunder in the twelve (12) months preceding the incident giving rise to liability.
  • Exclusion of Consequential Damages: Neither party shall be liable for indirect, consequential, punitive, special, or exemplary damages, nor for loss of business revenue, profit, goodwill, or operational data corruption, regardless of legal theory or foreknowledge of possibility.

10. Mutual Indemnification

Helix Indemnity: Helix shall defend Customer against any third-party claim alleging that Customer's authorized use of the Services infringes a valid patent, copyright, or trademark, and indemnify Customer for final court-awarded damages or mutually approved settlements.

Customer Indemnity: Customer shall defend and indemnify Helix against any third-party claim resulting from Customer Data violating third-party intellectual property or privacy laws, or Customer's breach of Section 04 (Acceptable Use).

11. Term, Suspension & Termination

This Agreement commences on the effective date of the initial Order Form and continues for the term designated therein. Either party may terminate for material breach if such breach remains uncured thirty (30) days after written notice.

Upon termination, Customer may export all Customer Data in standard format (JSON/CSV/PostgreSQL dump) within a sixty (60) day wind-down period. Upon expiration of the 60-day window, Helix will decommission and permanently erase all tenant storage volumes in accordance with our data disposal schedule.

12. Governing Law & Dispute Resolution

This Agreement and any dispute arising out of or in connection with it shall be governed by and construed in accordance with the substantive laws of India, without regard to conflicts of law principles.

The parties agree that any formal dispute, controversy, or claim shall first be submitted to good-faith executive escalation for a period of thirty (30) days. If unresolved, disputes shall be submitted to binding arbitration seated in Mumbai, India, conducted in English under the Arbitration and Conciliation Act, 1996. The arbitral award shall be final and enforceable in any court of competent jurisdiction.
